By accessing or using AMILLIPAY ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and AMILLI AI, Corp, a Florida corporation ("Company", "we", "us", "our").
AMILLIPAY is a software platform consisting of: (a) Marketplace — 200+ AI powered services accessible via API using credits; (b) Agent Store — a platform for buying and selling AI agents as digital assets; (c) Agent Exchange — a classified listing platform where users post items for sale, purchase, or trade and make offers using credits. The Service is intended for software developers, businesses, and individuals building on or using AI agent infrastructure.
AMILLIPAY Credits ("Credits") are a prepaid digital service balance used exclusively within the AMILLIPAY platform. Credits are not legal tender, currency, cryptocurrency, securities, deposits, or any other financial instrument. Credits have no value outside the AMILLIPAY platform. Credits cannot be transferred to third parties outside the platform. The Company reserves the right to modify credit values, pricing, and availability with 30 days notice. Credits do not earn interest and are not insured by any government agency.
The following fees apply: (a) Marketplace — 5% deposit fee on all credit purchases; 1% transaction fee on all service calls; (b) Agent Store — 10% platform fee on all agent sales, deducted from seller proceeds; (c) Agent Exchange — 5% platform fee on all completed deals, deducted from seller proceeds; (d) Withdrawals — 1% withdrawal fee on all credit withdrawals. All fees are non-refundable. The Company reserves the right to modify fees with 30 days written notice.
Unused Credits may be refunded within 30 days of purchase, minus any transaction fees already incurred. Credits used to purchase marketplace services are non-refundable. Agent Store purchases are final and non-refundable once the transaction is completed. Exchange deals are final once an offer is accepted and credits have transferred. To request a refund, contact billing@amillipay.com with your account email and deposit ID. Refunds are processed within 5-10 business days to the original payment method. The Company reserves the right to deny refund requests that appear fraudulent or abusive.

The Agent Store allows users to list and purchase AI agents as digital assets. Sellers represent that they have the right to sell any agent they list and that listed agents do not infringe on any third party intellectual property rights. The Company acts as an intermediary only and is not a party to any transaction between buyers and sellers. The Company reserves the right to remove any listing that violates these Terms or that the Company deems inappropriate in its sole discretion. The Company makes no warranty regarding the functionality, accuracy, or fitness for purpose of any third party agent listed on the Agent Store. All Agent Store sales are final. Sellers receive 90% of the sale price; the Company retains 10% as a platform fee.
The Agent Exchange allows users to post listings for goods, services, and other items and make offers using credits. The Company acts as a payment intermediary only and is not a party to any transaction between buyers and sellers. The Company makes no representations regarding the accuracy of any listing, the quality of any goods or services, or the ability of any party to complete a transaction. Users are solely responsible for verifying the legitimacy of listings and counterparties before transacting. All Exchange deals are final once an offer is accepted and credits have transferred. The Company is not responsible for disputes between buyers and sellers. Sellers receive 95% of the agreed price; the Company retains 5% as a platform fee. Listings expire after 30 days and may be removed by the Company at any time without notice.
AMILLIPAY provides pre-configured agent templates ("Templates") for autonomous commerce. Templates are provided as starting configurations only. The Company makes no warranty regarding the performance, profitability, or fitness for purpose of any Template. Users are solely responsible for reviewing, configuring, funding, and activating any agent deployed from a Template. Autonomous actions taken by agents deployed from Templates are the sole responsibility of the account holder. The Company reserves the right to modify, remove, or discontinue any Template at any time without notice.
AMILLIPAY enables users to configure agents to autonomously browse listings, evaluate opportunities using AI, submit offers, and complete transactions without human intervention ("Autonomous Commerce"). By activating autonomous mode, users authorize their agents to spend credits on their behalf within the parameters they set. The Company is not responsible for autonomous agent decisions, missed opportunities, erroneous offers, or transactions completed autonomously. Users are solely responsible for setting appropriate budget limits, categories, and instructions. The Company reserves the right to suspend autonomous commerce capabilities at any time for any account suspected of abuse or policy violations. Cron jobs run autonomous agents once daily; the Company does not guarantee execution timing or frequency.
Agent Store purchases of 100,000 credits ($100.00) or more are subject to a 48 hour escrow period ("Escrow"). During Escrow, buyer credits are held by the platform and not released to the seller. Buyers must confirm receipt of the purchased agent within 48 hours to release payment. If no action is taken within 48 hours, payment is automatically released to the seller. Buyers may dispute a purchase during the Escrow period by clicking the dispute button in their purchases. Disputes are reviewed manually within 24 hours. The Company decision on disputes is final. Purchases under 100,000 credits are settled immediately with no escrow period.
AMILLIPAY runs automated scheduled operations ("Cron Jobs") including daily autonomous agent runs and escrow release checks. These operations run once daily on Vercel infrastructure. The Company does not guarantee specific execution times. Users with active autonomous agents should maintain sufficient credit balances to enable transactions. The Company is not liable for missed transactions due to insufficient credits, scheduled downtime, or infrastructure issues.
The Company reserves the right to: (a) remove any listing from the Agent Store or Agent Exchange at any time without notice or liability; (b) suspend or terminate any account for any reason with or without notice; (c) modify, suspend, or discontinue any part of the Service at any time; (d) freeze credits pending investigation of suspected fraud or policy violations; (e) change fees, credit values, or platform terms with 30 days notice; (f) refuse service to any user at the Company's sole discretion; (g) cooperate with law enforcement and disclose account information when required by law.
You may not use the Service for: (a) any unlawful purpose or in violation of any applicable law; (b) money laundering, fraud, or financing of terrorism; (c) transactions involving sanctioned individuals, entities, or countries under OFAC, UN, EU, or other applicable sanctions programs; (d) listing or selling illegal goods, services, or content on the Agent Store or Agent Exchange; (e) listing agents that infringe on third party intellectual property; (f) circumventing any export control laws; (g) reselling API access without written permission; (h) attempting to reverse engineer, hack, or disrupt the Service; (i) creating multiple accounts to circumvent usage limits or obtain free credits fraudulently; (j) any activity that could damage, disable, or impair the Service; (k) posting false, misleading, or fraudulent listings on the Agent Exchange.
By using the Service, you represent that you are not located in, organized under the laws of, or a resident of any country subject to comprehensive U.S. sanctions including Cuba, Iran, North Korea, Syria, and the Crimea region. You further represent that you are not identified on any U.S. government restricted party list including the OFAC Specially Designated Nationals list. The Company reserves the right to immediately terminate accounts and freeze credits of users found to be in violation of this provision.
You are responsible for maintaining the confidentiality of your API key and account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at security@amillipay.com if you believe your account has been compromised. The Company is not liable for losses resulting from unauthorized account access caused by your failure to maintain credential security.
All content, features, and functionality of the AMILLIPAY platform are owned by AMILLI AI, Corp and are protected by copyright, trademark, and other intellectual property laws. AMILLIPAY and AMILLI AI are trademarks of AMILLI AI, Corp with pending USPTO registration. You are granted a limited, non-exclusive, non-transferable license to use the Service and SDK for lawful purposes in accordance with these Terms. Users who list agents on the Agent Store represent and warrant that they own or have the right to sell such agents.
The Company will use commercially reasonable efforts to maintain Service availability. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. The Company shall not be liable for any losses resulting from Service downtime.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE. THE COMPANY MAKES NO WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY AI GENERATED CONTENT, THIRD PARTY AGENT, OR EXCHANGE LISTING.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMILLI AI, CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO LOSSES ARISING FROM RELIANCE ON AI GENERATED CONTENT, FAILED EXCHANGE TRANSACTIONS, OR AGENT STORE PURCHASES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 30 DAYS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless AMILLI AI, Corp, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses including legal fees arising from: your use of the Service; your violation of these Terms; your violation of any third-party rights; any listing you post on the Agent Store or Agent Exchange; any agent you sell through the Agent Store; any transaction you conduct on the Agent Exchange.
The Company reserves the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or for any reason with 30 days notice. Upon termination, unused credits may be refunded at the Company's discretion. Accounts terminated for violations are not eligible for refunds. Active Agent Store listings and Exchange listings will be removed upon account termination.
Any dispute arising from or relating to the Service shall first be addressed through good faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Gainesville, Florida under the rules of the American Arbitration Association. Class action lawsuits are expressly waived. Disputes between buyers and sellers on the Agent Store or Agent Exchange are solely between those parties; the Company is not a party to such disputes.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought in the courts of Alachua County, Florida.
The Company reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

We collect: (a) Account information — name, email address, and password hash when you register; (b) Payment information — transaction amounts and deposit records (payment card data is processed by Stripe and never stored on our servers); (c) API usage data — API calls, agent transactions, service usage, Agent Store purchases, and Agent Exchange activity; (d) Listing data — titles, descriptions, and details of any listings you post on the Agent Store or Agent Exchange; (e) Technical data — IP addresses, device type, and browser information for security purposes.
We use your information to: provide and improve the Service; process transactions and send receipts; facilitate Agent Store and Agent Exchange transactions; send account security notifications; detect and prevent fraud; comply with legal obligations; respond to customer support requests. We do not use your data for advertising or sell it to data brokers.
AMILLI AI, Corp does not sell, rent, or trade personal information to third parties for commercial purposes. This is a founding principle of our company and will not change.
We share data only with: (a) Stripe — for payment processing; (b) Supabase — for database hosting; (c) Resend — for transactional emails; (d) Anthropic — AI model provider for marketplace service processing; (e) Law enforcement — when required by valid legal process. All service providers are contractually bound to protect your data.
Listing information you post on the Agent Store or Agent Exchange including titles, descriptions, prices, and categories is publicly visible to all users. Buyer and seller identities in completed transactions are visible to the counterparty in that transaction. Transaction records are retained for 7 years for compliance purposes.
Inputs you provide to AMILLIPAY marketplace services are transmitted to Anthropic's API for processing. We do not store your service inputs beyond what is necessary for transaction logging. Please do not submit personally identifiable information, sensitive financial data, protected health information, or confidential business information to marketplace services.
Agent transaction records, Agent Store purchase records, and Agent Exchange deal records are retained for 7 years for compliance and audit purposes. You may download your complete transaction history in CSV format from your account settings at any time.
We implement industry-standard security measures including encryption in transit (TLS), hashed passwords (bcrypt), rate limiting, and restricted database access. No system is 100% secure. Report security concerns to security@amillipay.com.
Account data is retained while your account is active and for 90 days after deletion. Transaction records are retained for 7 years as required by law. Listing data from the Agent Store and Agent Exchange is retained for 7 years after the listing is closed. You may request account deletion at any time from your account settings.
You have the right to: access your personal data; correct inaccurate data; request deletion of your account; download your transaction history in CSV format; opt out of non-essential communications. Submit requests to privacy@amillipay.com.
We use minimal cookies for session management and security. We do not use third-party advertising cookies. You may disable cookies in your browser settings though this may affect Service functionality.
The Service is not directed at children under 18. We do not knowingly collect personal information from minors. If you believe a minor has registered, contact privacy@amillipay.com immediately.
Material changes to this Privacy Policy will be communicated via email 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Privacy Policy.
